Wilf Paradise Properties, Inc. (“Respondents”) and alleges: ESSENTIAL ALLEGATIONS OF MATERIAL FACT 1. Petitioner is a state government licensing and regulatory agency charged with the responsibility and duty to prosecute Administrative Complaints pursuant to the laws of the State of Florida, in particular Section 20.165 and Chapters 120, 455 and 475 of the Florida Statutes, and the rules promulgated pursuant thereto. 2. Respondent Sharon Wilf is and was at all times material hereto a licensed Florida real estate broker, issued license number 547485 in accordance with Chapter 475 of the Florida Statutes. The last license issued was as an active broker at Sharon L. Wilf Paradise Properties, Inc., P.O. Box FDBPR vs Sharon Wilf FDBPR Case N° 200083498 Administrative Complaint 1260, Destin, Florida 32541-1260. 3. Respondent Sharon L. Wilf Paradise Properties, Inc. (Paradise Properties) is and was at all times material hereto a corporation registered as a Florida real estate broker having been issued license number 1006378 in accordance with Chapter 475 of the Florida Statutes. The last license issued was at the address of P. O. Box 1260, Destin, Florida 32541-1260. 4. Atail times material hereto, Respondent Sharon L. Wilf (Wilf) was licensed and operating as qualifying broker and officer of Respondent Paradise Properties, Inc. * ALLEGATIONS RELATING TO DBPR CASE NUMBERS 200083498 AND 200083499 5. Petitioner realleges and incorporates paragraphs one (1) through four (4) above. 6. On or about December 5, 2000, and pursuant to an official investigation, Petitioner’s investigator scheduled interviews with Petitioner Wilf and other persons employed with Respondent Paradise Properties. 7. At the time Petitioner’s investigator scheduled the interviews, the investigator informed Respondents that she would also conduct an office inspection and escrow audit on or about February 22, 2001. 8. Several days prior to the scheduled date, Respondent Wilf contacted Petitioner’s investigator, stating that Respondent Wilf was leaving Florida and would contact Petitioner’s investigator upon her return. 9. Respondent Wilf failed or refused to contact Petitioner’s investigator until on or about FDBPR vs Sharon Wilf FDBPR Case N° 200083498 Administrative Complaint April 5, 2001. 10. On or about April 5, 2001, Petitioner’s investigator contacted the Respondent’s offices and made an appointment to conduct the office inspection and escrow audit on April 12, 2001. 11. On or about April 12, 2001, Petitioner’s investigator met with Respondents’ offices and requested that Respondents’ bank statements, checkbooks and reconciliation statements be made available so that she could conduct an audit. A copy of the written request is attached hereto and incorporated herein as Administrative Complaint Exhibit 1. 12. Respondent Wilf stated to Petitioner’s investigator that the requested records were not located at the offices, were with Respondents’ bookkeeper, and that because Respondent Wilf was very busy, the audit would have to be scheduled. for another date. 13. Petitioner’s investigator made another appointment with Respondents for April 18, 2001. 14. On the evening prior to the scheduled appointment, Respondent Wilf left a message for Petitioner’s investigator that Respondent Wilf was again unable to meet as scheduled. 15. Petitioner’s investigator contacted Respondent Wilf on May 2, 2001, and scheduled another appointment for May 8, 2001, to audit Respondents’ escrow accounts. 16. On Sunday, May 6, 2001, Respondent Wilf left a message for Petitioner’s investigator, stating that Respondent Wilf was leaving the state on the next day, that she would be away for two weeks, and would call Petitioner’s investigator upon her return. 17. On May 7, 2001, Petitioner’s investigator left a message for Respondent Paradise FDBPR vs Sharon Wilf FDBPR Case N° 200083498 Administrative Complaint Properties informing its staff that she would conduct the audit as scheduled on the next day and requested the information she previously requested on April 12, 2001. 18. Neither Respondent contacted Petitioner’s investigator regarding the message. 19. On May 7, 2001, Petitioner’s investigator contacted Respondents’ office, again requested the information she previously requested on April 12, 2001, and stated the fact that she would conduct the audit on the next day. 20. Respondents’ office requested that Petitioner’s investigator leave a message so that the office manager could return her call. 21. On May 7, 2001, Petitioner’s investigator again contacted Respondents’ office and asked to speak to the office manager. 22. Respondent Wilf answered Petitioner investigator’s call. 23. Petitioner’s investigator stated the fact that she would conduct the audit on the next day and stated that the audit contained the information that she previously requested on several occasions. 24. Respondent Wilf indicated to Petitioner’s investigator that she would prefer that Respondent Wilf be present for the audit, but agreed to allow the audit the next day without her presence. 25. On May 7, 2001, late in the evening, Respondent Wilf left a message for Petitioner’s investigator stating that she did not want the audit to take place without her being present, stated that FDBPR vs Sharon Wilf FDBPR Case N° 200083498 Administrative Complaint she would return to the city in two weeks, and left information for a new appointment date and time to meet Petitioner’s investigator. 26. Respondent Wilf reiterated this information in a facsimile sent to Petitioner’s investigator. A copy of the facsimile is attached hereto and incorporated herein as Administrative Complaint Exhibit 2. 27. On or about May 8, 2001, Respondents forwarded some of the information Petitioner’s investigator requested on April 12, 2002. 28. Respondents failed to forward or explain the reasons for not forwarding all of the requested information. 29. Ina letter dated May 11, 2001, Petitioner’s investigator informed Respondents that she was making a final attempt to conduct audit and inspect Respondents and requested that Respondents choose one of the proffered dates and times. A copy of the letter is attached hereto and incorporated herein as Administrative Complaint Exhibit 3. 30. On or about May 24 and 29, 2001, Petitioner’s investigator met with Respondents to conduct the office inspection and escrow audit. COUNT I Based upon the foregoing, Respondent Sharon Wilf is guilty of having obstructed or hindered in any manner the enforcement of Chapter 475, Florida Statutes or the performance of any lawful duty by any person acting under the authority of Chapter 475, Florida Statutes in violation of Section FDBPR vs Sharon Wilf FDBPR Case N° 200083498 Administrative Complaint 475.42(1)(i), Florida Statutes and, therefore, in violation of Section 475.25(1)(e), Florida Statutes. COUNT II Based upon the foregoing, Respondent Sharon L. Wilf Paradise Properties, Inc. is guilty of having obstructed or hindered in any manner the enforcement of Chapter 475, Florida Statutes or the performance of any lawful duty by any person acting under the authority of Chapter 475, Florida Statutes in violation of Section 475.42(1)(i), Florida Statutes and, therefore, in violation of Section 475 .25(1)(e), Florida Statutes. ALLEGATIONS RELATING TO DBPR CASE NUMBERS 200181878 AND 200181879 32. Petitioner realleges and incorporates paragraphs one (1) through four (4) above. 33. On or about May 29, 2001, Petitioner’s investigator conducted the office inspection and escrow audit that revealed that Respondent Paradise Properties’ escrow account contained an overage of $1,164.63. A copy of the audit form is attached hereto and incorporated herein as Administrative Complaint Exhibit 4. 34. From in or around February 2000 through in or around March 2001, Respondents deposited commission checks in both Respondents’ escrow and office operating accounts. 35. Respondent Paradise Properties’ escrow account monthly reconciliation statements for February 2000, April 2000, May 2000, July 2000, September 2000, October 2000, November 2000, and March 2001, each indicated a shortage in the escrow account in the amounts of $14,096.40, $26,381.20, $137.28, $8,492.58, $5,443.05, $2,407.71, $1828.96, and $7,827.74, respectively. Respondent Wilf failed to properly reconcile the escrow account for the months of April 2000, May 2000, July 2000, and March 2001, in that the actual shortages to the account were in the amounts of $32,231.10, $48,237.28, $28,205.28, and $1,728.57, respectively. 37. Respondents failed to explain or adjust the escrow account for the shortages that occurred in April 2000, May 2000, July 2000, September 2000, October 2000, and March 2001. 38. The monthly reconciliation statements for February 2000 and November 2000 indicate that the resultant shortages occurred because Respondents “overpaid commissions.” 39. The February 2000 monthly reconciliation statement, Respondent Wilf explains that she “tnadvertently wrote [two] commission [checks] in the amount of $14,510.00.” 40. One of the two commission checks was check number 1485, in the amount of $8,325.00, and paid to the order of Respondent Paradise Properties. 41. Respondents failed to adjust the escrow account for the shortages that occurred in February 2000 and November 2000. 42. Respondent Paradise Properties’ escrow account monthly reconciliation statement for March 2000, June 2000, January 2001, and February 2001, each indicated an overage in the escrow account in the amounts of $1,849.90, $19,712.72, $3,452,13, and $9,556.31, respectively. Copies of the reconciliation statements are attached hereto and incorporated herein as Administrative FDBPR vs Sharon Wilf FDBPR Case N* 200083498 Administrative Complait Complaint Composite Exhibit 6. 43. Respondent Wilf failed to properly reconcile the escrow account for March 2000, in that the escrow account actually incurred a shortage in the amount of $31,650.10. 44. Respondents failed to explain or adjust the escrow account for the overages. 45, Respondent Wilf failed to complete the required monthly reconciliation statement for August 2000. 46. During the official investigation, Petitioner’s investigator determined that Respondents had previously been audited on February 14, 2000, which failed to reveal any problems with Respondent Paradise Properties’ escrow account. A copy of the audit form is attached hereto and incorporated herein as Administrative Complaint Exhibit 7. 47. On or about October 31, 2001, Petitioner’s investigator conducted a third office inspection and escrow audit of Respondents. 48. Respondent Paradise Properties’ escrow account monthly reconciliation statement for May 2001, and June 2001, each indicated a overage in the escrow account in the amount of $1,161.63, and $1,158.63, respectively. Copies of the reconciliation statements are attached hereto and incorporated herein as Administrative Complaint Composite Exhibit 8. 49. Respondents failed to explain or adjust the escrow account for the May 2001 overage. 50. On or about October 31, 2001, Petitioner’s investigator instructed Respondent Wilf on Chapter 61J2-14, Florida Administrative Code. FDBPR vs Sharon Wilf FDBPR Case N° 200083498 Administrative Complaint COUNT Ill Based upon the foregoing, Respondent Sharon Wilf is guilty of fraud, culpable negligence, or breach of trust in any business transaction in violation of Section 475.25(1)(b), Florida Statutes. COUNT IV Based upon the foregoing, Respondent Sharon Wilf is guilty of failure to properly prepare the required written monthly escrow statement-reconciliations including required minimum information in violation of Rule 61J2-14.012(2) and (3) of the Florida Administrative Code and is, therefore, in violation of Section 475.25(1)(e), Florida Statutes. COUNT V Based upon the foregoing, Respondent Sharon Wilf is guilty of depositing or intermingling personal funds with funds being held in escrow or trust or on condition in violation of Rule 61J2- 14.008(2) of the Florida Administrative Code and, therefore, in violation of Section 475.25(1)(e), Florida Statutes. COUNT VI Based upon the foregoing, Respondent Sharon L. Wilf Paradise Properties, Inc., is guilty of fraud, culpable negligence, or breach of trust in any business transaction in violation of Section 475,25(1)(b), Florida Statutes. COUNT VI Based upon the foregoing, Respondent Sharon L. Wilf Paradise Properties, Inc., is guilty of FDBPR vs Sharon Wilf FDBPR Case N° 200083498 Administrative Complaint depositing or intermingling personal funds with funds being held in escrow or trust or on condition in violation of Rule 61J2-14.008(2) of the Florida Administrative Code and, therefore, in violation of Section 475.25(1)(e), Florida Statutes. ALLEGATIONS RELATING TO DBPR CASE NUMBERS 2002006095 AND 2002006097 51. Petitioner realleges and incorporates paragraphs one (1) through four (4) above. 52. On or about August 22, 2002, Petitioner’s investigator conducted an office and inspection and escrow trust account audit of Respondents. 53. The investigation revealed a shortage of $1,557.43 in Respondent Paradise Properties’ escrow account. A copy of the audit form is attached hereto and incorporated herein as Administrative Complaint Exhibit 9. 54. Respondent Paradise Properties’ escrow account monthly reconciliation statements for January, 2002, March 2002, April 2002, May 2002, June 2002, and July 2002, each indicates a shortage in the escrow account in the amounts of $1,551.88, $2,544.43, $4,331.43, $1,553.43, $8,444.57, and $1,553.43, respectively. Copies of the reconciliation statements are attached hereto and incorporated herein as Administrative Complaint Composite Exhibit 10. 55. The monthly reconciliation statements for April 2002, June 2002, and July 2002, each failed to contain the required minimum information, in that there is no information regarding when Respondent Wilf performed each reconciliation. 56. Pursuant to the official investigation, Respondent Wilf admitted to Petitioner’s 10 FDBPR vs Sharon Wilf FDBPR Case N° 200083498 Administrative Complaint investigator that the shortages were the result of a “forced debit” on the escrow account that occurred in November 2001. 57. On or about September 21, 2001, Judge T. Patterson Maney, in the county court for Okaloosa County, Florida, entered a final default judgment against Respondent Paradise Properties in the amount of $12,951.33. A copy of the judgment is attached hereto and incorporated herein as Administrative Complaint Exhibit 11. 58. On or about November 19, 2001, the Deputy Clerk in the county court in and for Okaloosa County, Florida, issued a Writ of Garnishment to Compass Bank, notifying the bank of the judgment and ordering it to retain personal property in the amount of the judgment. A copy of the writ is attached hereto and incorporated herein as Administrative Complaint Exhibit 12. 59. Pursuant to the writ, on or about November 19, 2001, Compass Bank debited from Respondent Paradise Properties’ escrow account funds in the amounts of $25.00, $75.00, and $6,591.63. Copies of the debits are attached hereto and incorporated herein as Administrative Complaint Exhibit 13. 60. From on or about November 19, 2001, through August 23, 2002, Respondents failed to replace any of these funds. 61. On or about April 4, 2002, Respondents transferred $10,000.00 from the escrow account to Respondent Paradise Properties’ general operating account. A copy of the transfer is attached hereto and incorporated herein as Administrative Complaint Exhibit 14. FDBPR vs Sharon Wilf FDBPR Case N° 200083498 Administrative Complaint 62. Respondents failed to obtain proper authorization prior to transferring the escrowed funds. 63. From on or about April 4, 2002, through August 23, 2002, Respondents failed to replace any of these funds. 64, Between on or about August 6, 2002, and August 15, 2002, Respondent Wilf facilitated a real estate transaction relating to vacant land between a certain seller and certain buyers. A copy of the contract is attached hereto and incorporated herein as Administrative Complaint Exhibit 15. 65. Prior to facilitating the transaction, on or about July 17, 2002, the buyer facilitated a Brokerage Relationship Disclosure to effect Respondents’ representation of him in the real estate sales transaction. A copy of the disclosure. is attached hereto and incorporated herein as Administrative Complaint Exhibit 16. 66. On or about August 12, 2002, sellers facilitated a Brokerage Relationship Disclosure to effect Respondents’ representation of them in a real estate sales transaction. A copy of the disclosure is attached hereto and incorporated herein as Administrative Complaint Exhibit 17. 67. Pursuant to the official investigation, Respondent Wilf admitted to Petitioner’s investigator that she duplicated the sellers’ signatures from the disclosure and attached the signatures to the contract. 68. Respondents failed to inform the parties that Respondent Wilf duplicated the sellers’ signatures and affixed them to the contract. FDBPR vs Sharon Wilf FDBPR Case N° 200083498 Administrative Complaint 69. Respondents failed to obtain original signatures on the contract. 70. Pursuant to the official investigation, Petitioner’s investigator requested that Respondents produce copies of all monthly reconciliation statements from May 29, 2001, through August 19, 2002. 71. Respondent Wilf admitted to Petitioner’s investigator that she did not have any copies from in and around January 2002 through in and around March 2002. 72. From in and around January 2002 through in and around March 2002, Respondents facilitated a real estate transaction between Lutz Brockstedt (buyer) and Layton Stuart (seller). 73. Pursuant to the transaction, Respondents shared brokerage compensation with buyer. A copy of the check is attached hereto and incorporated herein as Administrative Complaint Exhibit 18. 74. Respondents failed to fully disclose to seller that they shared the brokerage compensation with buyer. COUNT VIII Based upon the foregoing, Respondent Sharon Wilf is guilty of fraud, misrepresentation, dishonest dealing by trick, scheme or device, culpable negligence or breach of trust in any business transaction in violation of Section 475.25(1)(b), Florida Statutes. COUNT IX Based upon the foregoing, Respondent Sharon Wilf is guilty of failure to maintain trust funds 13 FDBPR ys Sharon Wilf FDBPR Case N° 200083498 Administrative Complaint in the real estate brokerage escrow bank account or some other proper depository until disbursement thereof was properly authorized in violation of Section 475.25(1)(k), Florida Statutes. COUNT X Based upon the foregoing, Respondent Sharon Wilf is guilty of failure to properly prepare the required written monthly escrow statement-reconciliations including the required minimum information in violation of Rule 61J2-14.012(2) and (3) of the Florida Administrative Code and is, therefore, in violation of Section 475.25(1)(e), Florida Statutes. COUNT XI Based upon the foregoing, Respondent Sharon Wilf is guilty of failure to comply with duties of the brokerage relationship of Section 475.278, Florida Statutes, and, therefore, is in violation of Section 475.25(1)(e), Florida Statutes. COUNT XII Based upon the foregoing, Respondent Sharon Wilf is guilty of failure to preserve and make available to the Petitioner, all books, records, and supporting documents and failed to keep an accurate account of all trust fund transactions in violation of Rule 61J2-14.012(1), Florida Administrative Code and Section 475.5015, Florida Statutes, and, therefore, in violation of Section 475.25(1)(e), the Florida Statutes. COUNT XIII Based upon the foregoing, Respondent Sharon Wilf is guilty of sharing a commission with, or 14 FDBPR vs Sharon Wilf FDBPR Case N° 200083498 Administrative Complaint patd a fee or other compensation to, a person not properly licensed as a broker, broker-salesperson, or salesperson under the laws of this state, for the referral of real estate business, clients, prospects, or customers, or for any one or more of the services set forth in Section 475.01(1)(c), Florida Statutes and, therefore, in violation of Section 475.25(1)(h), Florida Statutes. COUNT XIV Based upon the foregoing, Respondent Sharon L. Wilf Paradise Properties, Inc. is guilty of fraud, misrepresentation, concealment, false promises, false pretenses, dishonest dealing by trick, scheme or device, culpable negligence, or breach of trust in any business transaction in violation of Section 475.25(1)(b), Florida Statutes. COUNT XV Based upon the foregoing, Respondent Sharon L. Wilf Paradise Properties, Inc is guilty of failure to maintain trust funds in the real estate brokerage escrow bank account or some other proper depository until disbursement thereof was properly authorized in violation of Section 475,.25(1)(k), Florida Statutes. COUNT XVI Based upon the foregoing, Respondent Sharon L. Wilf Paradise Properties, Inc. is guilty of failure to preserve and make available to the Petitioner, all books, records, and supporting documents and failed to keep an accurate account of all trust fund transactions in violation of Rule 61J2-14.012(1), Florida Administrative Code and Section 475.5015, Florida Statutes, and, 15 FDBPR vs Sharon Wilf FDBPR Case N° 200083498 Administrative Complaint therefore, in violation of Section 475.25(1)(e), the Florida Statutes. COUNT XVII Based upon the foregoing, Respondent Sharon L. Wilf Paradise Properties, Inc. is guilty of failure to comply with duties of the brokerage relationship of Section 475.278, Florida Statutes, and, therefore, is in violation of Section 475.25(1)(e), Florida Statutes. COUNT XVIII Based upon the foregoing, Respondent Sharon L. Wilf Paradise Properties, Inc. is guilty of sharing a commission with, or paid a fee or other compensation to, a person not properly licensed as a broker, broker-salesperson, or salesperson under the laws of this state, for the referral of real estate business, clients, prospects, or customers, or for any one or more of the services set forth in Section 475.01(1)(c), Florida Statutes and, therefore, in violation of Section 475.25(1)(h), Florida Statutes. WHEREFORE, Petitioner respectfully requests the Florida Real Estate Commission, or the Department of Business and Professional Regulation, as may be appropriate, to issue a Final Order as final agency action finding the Respondent(s) guilty as charged. The penalties which may be imposed for violation(s) of Chapter 475 of the Florida Statutes, depending upon the severity of the offense(s), include: revocation of the license or registration or permit; suspension of the license, registration or permit for a period not to exceed ten (10) years, imposition of an administrative fine of up to $1,000 for each count or offense; imposition of investigative costs; issuance of a reprimand; imposition of probation subject to terms including, but not limited to, requiring the licensee, 16 FDBPR vs Sharon Wilf FDBPR Case N° 200083498 Administrative Complaint registrant or permitee to complete and pass additional real estate education courses; publication; or any combination of the foregoing which may apply. The penalties which may be imposed for violation(s) of Chapter 455 of the Florida Statutes, depending upon the severity of the offense(s), include: revocation of the license, registration, or permit; suspension of the license, registration, or permit for a period not to exceed ten (10) years; imposition of an administrative fine of up to $5,000 for each count or offense; imposition of investigative costs; issuance ofa reprimand; imposition of probation subject to terms including, but not limited to, requiring the licensee, registrant, or permitee to complete and pass additional real estate education courses; publication; restriction of practice; injunctive or mandamus relief, imposition of a cease and desist order; or any combination of the foregoing which may apply. See Section 455.227, Florida Statutes (2001) and Florida Administrative Code Rule 61J2-24.001.
