JOINT STIPULATION AND ORDER FOR DISMISSAL WITHOUT PREJUDICE

The parties to this action, acting through counsel, and pursuant to Federal Rules of Civil Procedure 41(a)(1)(A)(ii) hereby stipulate, in consideration of a negotiated settlement executed by them, to the Dismissal Without Prejudice of this action, including all claims and counterclaims stated herein against all parties, with each party to bear its own attorney's fees and costs.

ORDER GRANTING DISMISSAL WITHOUT PREJUDICE

The Court having considered the stipulation of the parties, orders as follows:

1. The action is dismissed without prejudice. 2. Each Party shall bear their own costs and attorneys' fees. 3. The Court shall retain jurisdiction over this matter to enforce the terms of the Settlement Agreement.

IT IS SO ORDERED.
