STIPULATION AND [PROPOSED] ORDER OF DISMISSAL WITH PREJUDICE

The parties hereto, Plaintiff and Counter-Defendant SONOMA TIRES, INC. ("Sonoma"), counter-defendant John G. Rhiel, IV ("Rhiel"), and Defendant and Counter-Claimant BIG O TIRES, LLC ("Big O"), have reached a resolution of their dispute and have agreed that the above-captioned action shall be dismissed in its entirety with prejudice.

IT IS HEREBY STIPULATED that the above-captioned action be and hereby is dismissed with prejudice pursuant to Fed. R. Civ. P. 41(a)(1).

IT IS FURTHER STIPULATED that the parties shall bear their own attorneys' fees and costs.

[PROPOSED] ORDER

Pursuant to the stipulation of the parties, IT IS HEREBY ORDERED that the above-captioned action be and hereby is dismissed with prejudiced pursuant to Fed. R. Civ. P. 41(a)(1). The parties shall bear their own attorneys' fees and costs.
