We assist our clients in connection with both public and private securities offerings, including the preparation of registration statements for filing with the United States Securities and Exchange Commission, the filing of Forms D and other Blue Sky filings with various states in connection with private offerings of securities pursuant to SEC Regulation D. We also assist our public company clients in the preparation of various reports required under the Securities Exchange Act of 1934.
We assist clients in the drafting of various types of contracts and agreements, including employment agreements, buy-sell agreements, confidentiality agreements, computer use policies, and corporate regulation documents such as board of director resolutions.
We assist our public and private company clients with merger and acquisition transactions including due diligence matters, preparation of transaction documents and required filings with various government agencies and entities.
