STIPULATION AND ORDER OF DISMISSAL OF JAMES STEKELBERG'S CLAIMS PURSUANT TO FED. R. CIV. P. 41(a)(1)(A)(ii)

Pursuant to Rule 41(a)(1)(A)(ii) of the Federal Rules of Civil Procedure, Plaintiffs and Defendant PricewaterhouseCoopers LLP, by their undersigned counsel, hereby stipulate as follows:

WHEREAS, James Stekelberg is named as a Plaintiff in this action;

WHEREAS, James Stekelberg is a proposed representative of a putative class of individuals who, at any point between October 27, 2003 and the present, (1) worked in the position of Associate and/or Senior Associate in the International Assignment Services (IAS) practice of PwC's Tax line of service in California; and (2) did not possess a California Certified Public Accountant license during some or all of the time that he or she spent working in these positions (the "IAS putative class");

WHEREAS, the parties have agreed that James Stekelberg shall be dismissed from this action and withdrawn as a potential representative of the IAS putative class or any other putative class;

NOW THEREFORE, the parties stipulate that the Court may enter an Order as follows:

1. Plaintiff James Stekelberg's individual claims in the above action shall be, and hereby are, dismissed in their entirety;

2. James Stekelberg shall not be advanced as a representative of the IAS putative class or any other putative class in this action;

3. Plaintiffs and Defendant agree that each party is to bear its own attorneys' fees and costs.

SO ORDERED.
