STIPULATION DISMISSING ACTION WITHOUT PREJUDICE AND WITHOUT AWARD OF ATTORNEYS' FEES OR COSTS

SAMUEL CONTI, District Judge.

Pursuant to Federal Rule of Civil Procedure 41(a)(1)(A)(ii), IT IS HEREBY STIPULATED AND AGREED by Plaintiff/Counter Defendant La Jolla Cove Investors, Inc. and by Defendant/Counter Claimant 5Barz International, Inc., by and through their undersigned attorneys, that this action (including all claims and counterclaims) shall be dismissed without prejudice and without an award of attorneys' fees or costs to any party.

It is further stipulated that Judge Samuel Conti shall retain jurisdiction to interpret and enforce the parties' settlement agreement, the terms of which are hereby incorporated into this Stipulation, which jurisdiction includes, but is not limited to, the authority to enter a dismissal with prejudice or a stipulated judgment at a later date as appropriate pursuant to the terms of said settlement agreement.
