ADMINISTRATIVE COMPLAINT
State of Florida, Department of Business and Professional Regulation, Division of Real
Estate (“Petitioner”) files this Administrative Complaint against Victor Azria and Planet Realty
Corp. (“Respondents”) and alleges:
ESSENTIAL ALLEGATIONS OF MATERIAL FACT
1. Petitioner is a state government licensing and regulatory agency charged with the
responsibility and duty to prosecute Administrative Complaints pursuant to the laws of the State of
Florida, in particular Section 20.165 and Chapters 120, 455 and 475, of the Florida Statutes and the
tules promulgated pursuant thereto.
2. Respondent Victor Azria is and was at all times material hereto a licensed Florida real
estate broker, issued license number 3010513 and 3006540 in accordance with Chapter 475 of the
Florida Statutes. The last license issued was as a broker with Planet Realty Corp., 3010 Collins
Avenue #101, Miami Beach, Florida 33140 and with Barclays International Properties Inc., 1221

3. Respondent Planet Realty Corp. is and was at all times material hereto a corporation
registered as a Florida real estate broker having been issued license number 215936 in accordance with
Chapter 475 of the Florida Statutes. The last license issued was at the address of 3010 Collins Avenue
#110, Miami Beach, Florida 33139.
4. At all times material hereto, Respondent Victor Azria was licensed and operating as
qualifying broker and officer of Respondent Planet Realty Corp.
5. On or about April 22, 2003 American Leisure Resort, Inc, (Buyer/Assignee), represented
by Leon Cohen (President) and AZ3, Inc., d/b/a BCBG Max Azria (Assignor) entered into an
Assignment of Option to Purchase, on a property located at 16601 NW 8" Street, Miami, Florida
33169. (Subject Property). A copy of the assignment is attached hereto and incorporated herein as
Exhibit 1.
6. At all times material, Buyer/Assignee agreed to pay, owner of Subject Property, the
amount of $7,400,000, and to Assignor the sum of $600,000.
7. At all times material, Buyer/Assignee had a contractual obligation to obtain financing in
the form of a commitment letter on or before May 30, 2003 for $5,000,000.
8. At all times material, closing was scheduled for June 30, 2003.
9. Respondents received from Buyer/Assignee a surety deposit for $400,000. A copy of the
deposit is attached hereto and incorporated herein as Exhibit 2.

10. At all times material the closing to purchase property failed.
11. On or about June 5, 2003, Max Azria granted written authorization to Respondent to
return the surety deposit to buyer. A copy of the authorization is attached hereto and incorporated
herein as Exhibit 3.
12. On or about June 5, 2003, Respondents’ remitted to Buyer/Assignee a check for
$200,000 as partial refund for surety deposit. A copy of the agreement is attached hereto and
incorporated herein as Exhibit 4.
13. Respondent agreed to pay Buyer the balance of $200,000 on the date of closing or not
latter than July 30, 2003.
14. At all times material, Respondents failed to deliver to Buyer/Assignee the full amount
of surety Deposit. A copy of correspondence is attached hereto and incorporated herein as Exhibit
5.
15. Respondent claims that Buyer/Assignee authorized the use of $200,000 of the surety
deposit.
16. On or about January 5, 2004, Petitioner’s investigator, Tibizay Morales, conducted an
audit of Respondents’ operations.
17. At all times material for the year 2003, Respondents’ failed to cause to be made, monthly
reconciliation statements of escrow accounts.
18. Respondents failed to make available to Petitioner’s investigator, records and

documents.
19. Respondent used escrows find to pay business-related expenses, in violation and breach
of license law. Copies of the documents are attached hereto and incorporated herein as Exhibit 6,
7, and 8.
COUNT I
Based upon the foregoing, Respondent Victor Azria is guilty of breach of trust in any business
transaction in violation of Section 475.25(1)(b), Florida Statutes.
COUNT IE
Based upon the foregoing, Respondent Victor Azria is guilty of failure to account or deliver’
funds in violation of Section 475.25(1)(d)1., Florida Statutes.
COUNT II
Based upon the foregoing, Respondent Victor Azria is guilty of failure to comply with the
advance fee accounting and reporting procedures in violation of Florida Administrative Code Rule
61J2-10.029 and, therefore, in violation of Section 475.25(1)(e), Florida Statutes.
COUNT IV
Based upon the foregoing, Respondent Victor Azria is guilty of failure to preserve and make
available to the Petitioner, all books, records, and supporting documents and failed to keep an
accurate account of all trust fund transactions in violation of Rule 61J2-14.012(1) of the Florida
Administrative Code and, therefore, in violation of Section 475.25(1)(e), the Florida Statutes.

COUNT V
Based upon the foregoing, Respondent Victor Azria is guilty of failure to provide written
notification to the Commission within fifteen business days of the last party’s demand and failure
to institute one of the settlement procedures as set forth in Section 475.25(1)(d)1., Florida Statutes,
within thirty business days after the last demand in violation of Rule 61J2-10.032(1)(a) of the Florida
Administrative Code and, therefore, in violation of Section 475 .25(1)(e), Florida Statutes.
COUNT VI
Based upon the foregoing, Respondent Planet Realty Corp. is guilty of breach of trust in any
business transaction in violation of Section 475.25(1)(b), Florida Statutes.
COUNT VII
Based upon the foregoing, Respondent Planet Realty Corp. is guilty of failure to account or
deliver funds in violation of Section 475.25(1)(d)1., Florida Statutes.
COUNT VII
Based upon the foregoing, Respondent Planet Realty Corp. is guilty of failure to comply with
the advance fee accounting and reporting procedures in violation of Florida Administrative Code
Rule 6132-10.029 and, therefore, in violation of Section 475.25(1)(e), Florida Statutes.

Based upon the foregoing, Respondent Planet Realty Corp. is guilty of failure to preserve and

COUNT X
Based upon the foregoing, Respondent Planet Realty Corp. is guilty of failure to provide
written notification to the Commission within fifteen business days of the last party’s demand and
failure to institute one of the settlement procedures as set forth in Section 475.25(1)(d)1., Florida
Statutes, within thirty business days after the last demand in violation of Rule 61J2-10.032(1)(a) of
the Florida Administrative Code and, therefore, in violation of Section 475 .25(1)(e), Florida Statutes.
WHEREFORE, Petitioner respectfully requests the Florida Real Estate Commission, or the
Department of Business and Professional Regulation, as may be appropriate, to issue a Final Order
as final agency action finding the Respondent(s) guilty as charged. The penalties which may be
imposed for violation(s) of Chapter 475 of the Florida Statutes, depending upon the severity of the
offense(s), include: revocation of the license or registration or permit; suspension of the license,
registration or permit for a period not to exceed ten (10) years, imposition of an administrative fine
of up to $1,000 for each count or offense; imposition of investigative costs; issuance of a reprimand;
imposition of probation subject to terms including, but not limited to, requiring the licensee,
registrant or permitee to complete and pass additional real estate education courses; publication; or
any combination of the foregoing which may apply. See Section 475.25(1), Florida Statutes and
Florida Administrative Code Rule 61J2-24.001. The penalties which may be imposed for

Please find attached information regarding this new case against Victor Azria/Planet
Realty Corporation.
‘The basis of our legal action is the fact that an escrow agent (vi ictor Azria) has illegally.
misused escrow funds for personal use. As these documents will show you, a real-estate
_ transaction (assignment of option to purchase) carried a good faith deposit contingency
(clause 2.1), which required a deposit of $400,000.00 with the escrow agent (Planet
Realty Escrow Accounts — copy of check attached).
The escrow agent returned $200, 000.00 on June 5, 2003, but retained the other half,
«which be agreed to pay no later than July 30, 2002.
To date, the escrow funds have not been refunded. The real estate transaction never
' closed.
Due to the highly fraudulent nature of this case, we are seeking the toughest possible
legal recourse.
