Regulation, Division of Real Estate (“Petitioner”) files this
Administrative Complaint against Karen Marie Salle (“Respondent”)
and alleges:
ESSENTIAL ALLEGATIONS OF MATERIAL FACT
1. Petitioner is a state government licensing and regulatory
agency charged with the responsibility and duty to prosecute
Administrative Complaints pursuant to the laws of the State of
Florida, in particular Section 20.165 and Chapters 120, 455 and
475, of the Florida Statutes and the rules promulgated pursuant
thereto.
2. Respondent is and was at all times material hereto a
licensed Florida real estate sales associate, issued license number

704674 in accordance with Chapter 475 of the Florida Statutes.
3. The last license issued was as a sales associate at
Florida Waterway Marketing, Inc., 6453 East Hwy. 100, Flagler
Beach, FL 32136.
4. At all times material, Respondent was a registered sales
associate with Kenneth Belshe the broker for Florida Waterway
Marketing Inc., a licensed brokerage.
5. On or about June 29, 2004 Respondent represented to Donald
R. & Kathleen K. Vehlhaber .(Buyers) a sale and purchase contract
for a property located at 58 Highbridge Road, Ormond Beach, Florida
for $1,100,000.00 allegedly to be sold by Highbridge Associates
Inc. (Seller). A copy of the contract is attached hereto and
incorporated herein as Administrative Complaint Exhibit 1.
6. Respondent represented to Buyers that the deposit for
$50,000.00 was to be held in escrow with The Buyer’s Agent of
Northeast Florida Inc., and to be transferred to the escrow account
of Riggio and Mitchell PA upon satisfaction of all contingencies.
7. On or about August 29, 2004 Respondent received check
#1468 for $50,000.00 from Buyers as an escrow deposit for the
purchase of the Subject Property. A copy of the check is attached

hereto and incorporated herein as Administrative Complaint Exhibit

8. Respondent endorsed and deposited the Buyers’check into
the account of The Buyer’s Agent of Northeast Florida Inc.
9. Respondent knew or should have known that on or about June
29, 2004 the Subject Property was owned by Stephen J. Elston. A
copy of the warranty deed is attached hereto and, incorporated
herein as Administrative Complaint Exhibit 3.
10. Respondent knew or should have known that on or about
June 29, 2004 Highbridge Associates Inc. (Seller) had no property
interest in the Subject Property.
11. Respondent represented to Buyers to be entitled to a
commission as a sales agent for Florida Waterfront Properties Inc.,
for the sale of the Subject Property.
12. Respondent knew or should have known’ that Florida
Waterfront Properties Inc., was not the holder of a brokerage
license.
13. Respondent failed to disclose to Buyers that Respondent’s
mother, Dorothy Hoffman was the president of Highbridge Associates
Inc. (Seller). A copy of the corporate record is attached hereto
and incorporated herein as Administrative Complaint Exhibit 4.

14. Respondent failed to disclose to Buyers’ that
Respondent's husband, Brian T. Salle, had an ownership interest in
Highbridge Associates Inc. (Seller).
15. Respondent failed to disclose that Respondent was
president of The Buyer’s Agent of Northeast Florida Inc. A copy of
the corporate record is attached hereto and incorporated herein as
Administrative Complaint Exhibit 5.
16. Respondent failed to disclose that Respondent's mother,
Dorothy Hoffman, was vice-president. of The Buyer’s Agent of
Northeast Florida Inc. .
17. Respondent failed to disclose to Buyers that The Buyer's
Agent of Northeast Florida Inc., had no escrow accounts to deposit
the Buyers’ funds.
18. At all times material Respondent failed to present any
offer to purchase the Subject Property to Ryan S. Adams the listing
agent for the Subject Property.
19. At all times material Respondent failed to present any
offer to purchase the Subject Property to the owner of record for
the Subject Property.
20. Respondent knew or should have known that on or about
February 2005 the Subject Property was sold to a third party.

21. Respondent failed to account and deliver to Buyers funds
received for the purchase of the Subject Property.
Based upon the foregoing, Respondent is guilty of fraud,
misrepresentation, concealment, false promises, false pretenses,
dishonest dealing by trick, scheme or device, culpable negligence,
lon
or breach of trust in any business transaction in violation of
Section 475.25(1) (b), Florida Statutes.
. COUNT TWO
Based upon the foregoing, Respondent is guilty of having
operated as a broker while licensed as a sales associate in
violation of Section 475.42(1) (b), Florida Statutes and, therefore,
in violation of Section 475.25(1)(e), Florida Statutes.
COUNT THREE
Based upon the foregoing, Respondent is guilty of having
collected any money in connection with any real estate brokerage
transaction except in the name of the employer and with the express
consent of the employer and is guilty of commencing or maintaining
any action for a commission or compensation against any person
except his registered employer in violation of Section 475.42(1) (d),
Florida Statutes and, therefore, in violation of Section
475.25(1) (e), Florida Statutes.

WHEREFORE, Petitioner respectfully requests the Florida Real
Estate Commission, or the Department of Business and Professional
Regulation, as may be appropriate, to issue a Final Order as final
agency action finding the Respondent(s) guilty as charged. The
penalties which may be imposed for violation(s) of Chapter 475 of
the Florida Statutes, depending upon the severity of the
offense(s), include: revocation of the license or registration or
permit; suspension of the license, registration or permit for a
period not to exceed ten (10) years, -imposition of an
administrative fine of up to $5,000 for each count or offense;
imposition of investigative costs; issuance of a reprimand;
imposition of probation subject to terms including, but not limited
to, requiring the licensée, registrant or permitee to complete and
pass additional real estate education courses; publication; or any
combination of the foregoing which may apply. See Section
475.25(1), Florida Statutes and Florida Administrative Code Rule
6102-24.001. The penalties which may be imposed for violation(s)
of Chapter 455 of the Florida Statutes, depending upon the severity
of the offense(s), include: revocation of the license,
registration, or permit; suspension of the license, registration,
or permit for a period not to exceed ten (10) years; imposition of
