Plaintiff tiled a complaint against Defendants on September 23, 2016. (Doc, 1.) Defendant Medient Studios, Inc. was served with a summons and copy of the complaint by no later than December 13, 2016. (Doe. 15.) After Defendant failed to answer the complaint, default was entered against it on April 3, 2018. (Doc. 49.) Plaintiff filed its Motion for Default Judgment on April 4, 2018, requesting the entry of a default judgment against Defendant pursuant to Rule 55 of the Federal Rules of Civil Procedure. Defendant, who is not subject to the Servicemembers Civil Relief Act, 50 U.S.C. App. §§ 501-596, has failed to respond to both Plaintiff's Motion for Entry or Default and Motion for Default Judgment. After careful consideration, Plaintiff's Motion is GRANTED. For good cause shown, the Clerk of Court is

IT IS HEREBY FURTHER ORDERED, ADJUDGED, AND DECREED that Defendant is permanently restrained and enjoined from violating Section 13(a) of the Exchange Act [15 U.S.C. § 78m(a)] and Rules 12b-20, 13a-1, and 13a-1 1 promulgated thereunder [17 C.F.R. §§ 240.12b-20, 240.13a-1, and 240.13a-11] by failing to file with the Commission true and correct annual reports made on Form 10-K and current reports made on Form 8-K that contain all material information necessary to make the required statements in the reports, in the light of the circumstances under which they are made, not misleading.

IT IS HEREBY FURTHER ORDERED, ADJUDGED, AND DECREED that Defendant is liable for disgorgement of $885,000, representing profits gained as a result of the conduct alleged in the Complaint, together with prejudgment interest thereon in the amount of $54,368.73, for a total of $939,368.73, and a civil penalty in the amount of $885,000.00 pursuant to Section 20(d) of the Securities Act and Section 21(d)(3) of the Exchange Act. Defendant shall satisfy these obligations by paying the disgorgement, prejudgment interest thereon, and civil penalty in the total amount of $1.824,368.73 to the Securities and Exchange Commission within 14 days after entry of this Final Judgment.
Defendant may transmit payment electronically to the Commission, which will provide detailed ACH transfer/Fedwire instructions upon request. Payment may also be made directly from a bank account via Pay.gov through the SEC website at http://www.sec.gov/about/offices/ofm.hun. Defendant may also pay by certified check, bank cashier's check, or United States postal money order payable to the Securities and Exchange Commission, which shall be delivered or mailed to
and shall be accompanied by a letter identifying the case title, civil action number, and name of this Court; Medient Studios, Inc., as a defendant in this action; and specifying that payment is made pursuant to this Final Judgment.
Defendant shall simultaneously transmit photocopies of evidence of payment and case identifying information to the Commission's counsel in this action. By making this payment, Defendant relinquishes all legal and equitable right, title, and interest in such funds and no part of the funds shall be returned to Defendant. The Commission shall send the funds paid pursuant to this Final Judgment to the United States Treasury.
The Commission may enforce the Court's judgment for disgorgement and prejudgment interest by moving for civil contempt (and/or through other collection procedures authorized by law) at any time after 14 clays following entry of this Final Judgment. Defendant shall pay post judgment interest on any delinquent amounts pursuant to 28 U.S.C. § 1961.
IT IS FURTHER ORDERED, ADJUDGED, AND DECREED that this Court shall retain jurisdiction of this matter for the purposes of enforcing the terms of this Final Judgment.
There being no just reason for delay, pursuant to Rule 54(b) of the Federal Rules of Civil Procedure, the Clerk is ordered to enter this Final Judgment forthwith and without further notice.
