STIPULATION AND CONSENT ORDER TO DEBTOR'S MOTION TO REJECT LEASE

IT IS HEREBY STIPULATED AND AGREED, by and among the undersigned counsel for the parties hereto, that Debtor Potomac Business Environments, LLC's ("Potomac's") motion filed on September 30, 2011 to reject the lease (the "Lease") with Merritt-060, LLC ("Merritt") for the real property located at 611 Hammonds Ferry Road, Suites L-N, Linthicum, Maryland 21090 be, and hereby is, GRANTED; and it is further
ORDERED and AGREED, that the Lease be and hereby is REJECTED as of September 23, 2011; and it is further
ACKNOWLEDGED and AGREED that Merritt reserves all of its rights and claims for damages for prepetition lease rejection including the right to file a Proof of Claim in this matter; and it is further
ORDERED and AGREED that Merritt has no administrative claim for rent due in this matter.
