ADMINISTRATIVE COMPLAINT
State of Florida, Department of Business and Professional Regulation, Division of Real
Estate (hereinafter Petitioner") files this Administrative Complaint against David L. Rhoten II
(hereinafter "Respondent”) and alleges:
ESSENTIAL ALLEGATIONS OF MATERIAL FACT
1. Petitioner is a state government licensing and regulatory agency charged with the
responsibility and duty to prosecute Administrative Complaints pursuant to the laws of the State
of Florida, in particular Section 20.165 and Chapters 120, 455 and 475 of the Florida Statutes,
and the rules promulgated pursuant thereto.
2. Respondent David L. Rhoten II is and was at all times material hereto a licensed
Florida real estate broker, issued license number 0547418 in accordance with Chapter 475 of the
Florida Statutes.
3. The last license issued was as a broker at 895 E Palmetto Park Road, Boca Raton,

4. Atall times material herein, David Rhoten (Respondent) was a licensed broker of
record with Castles By The Sea (Brokerage).
5. Atall times material herein, the Respondent was the only signatory on the escrow
account for the Brokerage.
6. On or about August 31, 2000 the Brokerage facilitated a Sale and Purchase Contract
between Advanced Builders Corporation (Seller) and Michael Amston (Buyer) for the property
commonly known as 875 Dogwood Drive, Delray, Florida. A copy of the contract is attached
hereto and incorporated herein as Administrative Complaint Exhibit 1.
7. The contract listed the Brokerage as the Escrow agent for the transaction.
8. Pursuant to the contract, the Brokerage received an earnest money deposit of $42,800
as escrow holder upon the buyer signing the contract. A copy of the check is attached hereto and
incorporated herein as Administrative Complaint Exhibit 2.
9. The contract indicated the closing was set for October 1, 2000.
10, Onor about September 11, 2000, attorney for the Buyer, wrote a letter to the Seller,
and copied Jennifer McCrary, an employee of the Respondent, withdrawing the Buyer’s offer and
demanding return of the earnest money. A copy of the letter is attached hereto and incorporated
herein as Administrative Complaint Exhibit 3.
11. On September 14, 2000, attomey for the Seller wrote a letter to the Buyer, and copied

the Brokerage, demanding the escrow money. A copy of the letter is attached hereto and
incorporated herein as Administrative Complaint Exhibit 4.
12. The Respondent failed to notify the Petitioner of any dispute over the escrow money.
COUNT I
Based upon the foregoing, Respondent is guilty of failure to provide wnitten notification to
the Commission within fifteen business days of the last demand of the procedure instituted to resolve
the escrow fund dispute and must institute one of the settlement procedures as set forth in Section
475.25(1)(d)1 of the Florida Statutes, within thirty days after having such doubt, all in violation of
Rule 61J2-10.032(1)(a) of the Florida Administrative Code and, therefore, in violation of Section
475.25(1)(e) of the Florida Statutes.
COUNT II
Based upon the foregoing, Respondent is guilty of failure to provide written notification to
the Commission within fifteen business days of the good faith doubt of the procedure instituted to
resolve the escrow fund dispute and must institute one of the settlement procedures as set forth in
Section 475.25(1)(d)1 of the Florida Statutes, within thirty days after having such doubt, all in
violation of Rule 61J2-10.032(1)(b) of the Florida Administrative Code and, therefore, in violation
of Section 475.25(1)(e) of the Florida Statutes.

ESSENTIAL ALLEGATIONS OF MATERIL FACT
13. On or about November 16, 2000, the Petitioner conducted and audit of the
Brokerage’s records provided by the Respondent’s then attorney James Miller.
14, The audit revealed the escrow account had a shortage of approximately $1,288,597.
A copy of the audit form is attached hereto and incorporated herein as Administrative Complaint
Exhibit 5.
15. The audit further revealed that the Brokerage did not maintain the required records.
COUNT III
Based upon the foregoing, Respondent is guilty of failure to maintain trust funds in the real
estate brokerage escrow bank account or some other proper depository until disbursement thereof was
properly authorized in violation of Section 475.25(1)(k) of the Florida Statutes.
COUNT IV
Based upon the foregoing, Respondent is guilty of culpable negligence, or breach of trust in any
business transaction in violation of Section 475.25(1)(b) of the Florida Statutes.
COUNT V
Based upon the foregoing, Respondent is guilty of failure to prepare the required written
monthly escrow statement-reconciliations in violation of Rule 61J2-14.012(2) and (3) of the Flonda
Administrative Code and is, therefore, in violation of Section 475.25(1)(e) of the Florida Statutes.

ESSENTIAL ALLEGATIONS OF MATERIAL FACTS
16. At all times material herein, the Respondent was the broker of record for Castles By
The Sea.
17, On or about March 26, 2000, Castles By The Sea facilitated a Residential Sale and
Purchase Contract between Stephen and Clare Sims (Buyers) and Jacqueline Bardach (Seller) for
the property commonly known as 6017 Old Ocean Boulevard, Ocean Ridge, Florida. A copy of
the contract 1s attached hereto and incorporated herein as Administrative Complaint Exhibit 6.
18. Pursuant to the contract, Castles By The Sea received an eamest money deposit of
$10,000 as escrow holder upon the Buyers signing the offer.
19. The contract further specified that the Buyers were to deposit with Castles By The
Sea an additional $20,000 earnest money within ten days after the effective date of the contract.
20. On or about May 2, 2000, Stephanie McCauley (McCauley), agent for Castles By
The Sea, notified the Seller in writing that the Buyers were unable to obtain financing and
requested a release of the escrow deposit. A copy of the letter is attached hereto and incorporated
herein as Administrative Complaint Exhibit 7.
21. On or about May 8, 2000, William Manikas, attorney for the Seller, sent a letter to
McCauley with a possible alternative financing source for the Buyer. A copy of the letter is
attached hereto and incorporated herein as Administrative Complaint Exhibit 8.
22. On or about May 18, 2000, Myron Dunay, the new attorney for the Seller, made a

formal demand for the escrow money to McCauley. A copy of the letter is attached hereto and
incorporated herein as Administrative Complaint Exhibit 9.
23. On or about July 20, 2000, the attorney for the Seller sent a demand for the escrow
money to the Respondent. A copy of the letter is attached hereto and incorporated herein as
Administrative Complaint Exhibit 10.
24. The Respondent failed to notify the Petitioner of the dispute regarding the escrow
funds.
COUNT VI
Based upon the foregoing, Respondent is guilty of failure to account or deliver funds in
violation of Section 475.25(1)(d)1. of the Florida Statutes.
COUNT VII
Based upon the foregoing, Respondent is guilty of failure to provide written notification to
the Commission within fifteen business days of the last demand of the procedure instituted to resolve
the escrow fund dispute and must institute one of the settlement procedures as set forth in Section
475,25(1)(d)1 of the Florida Statutes, within thirty days after having such doubt, all in violation of
Rule 61J2-10.032(1)(a) of the Florida Administrative Code and, therefore, in violation of Section
475.25(1)(e) of the Florida Statutes.
WHEREFORE, Petitioner respectfully requests the Florida Real Estate Commission, or
the Department of Business and Professional Regulation, as may be appropriate, to issue a Final

Order as final agency action finding the Respondent(s) guilty as charged. The penalties which
may be imposed for violation(s) of Chapter 475 of the Florida Statutes, depending upon the
severity of the offense(s), include: revocation of the license or registration or permit; suspension
of the license, registration or permit for a period not to exceed ten (10) years, imposition of an
administrative fine of up to $1,000 for each count or offense; imposition of investigative costs;
issuance of a reprimand; imposition of probation subject to terms including, but not limited to,
requiring the licensee, registrant or permitee to complete and pass additional real estate education
courses; publication; or any combination of the foregoing which may apply. See § 475.25(1),
Fla. Stat. (1999) and Fla. Admin. Code R. 6152-24.001. The penalties which may be imposed for
violation(s) of Chapter 455 of the Florida Statutes, depending upon the severity of the offense(s),
include: revocation of the license, registration, or permit; suspension of the license, registration,
or permit for a period not to exceed ten (10) years; imposition of an administrative fine of up to
$5,000 for each count or offense; imposition of investigative costs; issuance of a reprimand;

restriction of practice; injunctive or mandamus relief; imposition of a cease and desist order; or
any combination of the foregoing which may apply. See § 455.227, Fla. Stat. (1999) and Fla.

Please accept this lemer as formal notification of the Buyer’s withdrawal of his offer to purchase the above
referenced property. The contract was never accepted by the owners of rooord of the property as of this daze,
therefore, the Buyer is withdrawing his offer cfisctive inanediately.
The owner of this property is not Advanez Builder's Corp. as shown on the contract but rather Micbael Mucha
as to an undivided 2/3 interest and Carolyn Kline as to an undivided 1/3 interest. Since Carolyn Kiine bas
never accepted the offer to purchase, and the Buyer made the offer to purchase the entire interest, nor a 23
interest, the Bayer is withdrawing lus offer.
By copy of this lemer, we are hereby requesting the escrow agent immediately return all funds so their
possession to the Buyer since 4 binding contract has never bezn created.

Dear Craig and Mr and Ms Bardach,
Regarding the contract for sale and purchase of 6017 Old Ocean
Blvd; Buyers (Sims) were unable to obtain financing of 75% of purchase
price as:stipulated in paragraph #3 of contract. The buyers hereby
respectfully withdraw from said contract (see Statement of Credit Denial)
and request release of escrow money from Castles by the Sea escrow
account.
Mr and Ms Sims are extremely disappointed, but hope that financing
will become available within the next several months when they are better
established in the United States and thank you for your patiepis in this

Trepresent Jacqueline Bardach, and she has consulted me regarding the pending contract for the sale of
her Ocean Ridge property to Mr. and Mrs. Stephen Sims. I have a copy of Ms. McCauley’s May 2, 2000, note
to my client, requesting her release of the contract deposit.
I believe cancellation of the contract and any request for release of the escrow deposit may be premature,
My clients tell me they are working with a mortgage broker in Boca Raton who reports that he has a lender
prepared to fund a mortgage for the Sims’ purchase of the Bardach property.
The mortgage broker is Webb Mortgage Corp., and the contact person is Byron J. Webb, the president.
The address is 155 North East Spanish River Boulevard, Boca Raton, Florida 33431. Telephone number is (561)

According to my client, the lender that Webb has identified will lend 60% of the purchase price, and Mrs.
Bardach is in the position to take back a second mortgage for the remaining 15%. I understand from my clients
that Mr. Webb is in possession of all of the information which Mr. and Mrs. Bardach have regarding Sims’
personal and financial situation.
It appears that the next step for Mr. and Mrs. Sims will be to contact Mr. Webb regarding a prospective
mortgage.

Attorney William Manikas who was then representing Jacqueline
Bardach. This is to advise that I have been retained to

On May 18, 2000 I wrote and hand delivered to your office
a letter regarding the above-referenced residential sale and
purchase contract. To date I have heard nothing from your
office except for a telephone call from someone in your
administrative office late in May.
Since your office served as escrow agent as well as
broker you are authorized and required to submit this dispute
between the buyer and seller to your choice of arbitration, a
Florida Court, or the Florida Real Estate Commission to
resolve the dispute. Thus far you have not done so, although
several months have elapsed.
Your failure to act at this stage without any explanation
appears to be a willful breach of the contract if not gross
negligence. Should you not proceed according to your
responsibilities as escrow agent within the next fifteen (15)
days I have been directed proceed with an action for damages
because of the default of the buyer and the escrow agent's
actions or inactions as described above.
