The Issue Whether the application of Snyder Computer Systems, Inc., d/b/a Wildfire Motors and PC Scooter and Cycle, L.L.C., to establish an additional franchised dealership for the sale of Zhejiang Summit Huawin Motorcycle Co. Ltd. (POPC) motorcycles to be located at 3401 East Business Highway 98, Panama City, Bay County, Florida 32401, should be granted.

Findings Of Fact Respondent is a licensed motor vehicle dealer in Florida and an existing POPC dealer located at 12202 Hutchison Boulevard, Suite 72, Panama City Beach, Florida 32407. There was no evidence which demonstrated Petitioners’ market share in the motorcycle market. There was no evidence presented analyzing the motorcycle market in the Panama City area. Likewise, there was no evidence presented regarding anticipated growth in the market area. This type of evidence is generally presented by the distributor or manufacturer of the product. As indicated, Petitioners did not appear at the hearing. Given this lack of evidence, the market share for Petitioners’ motorcycles cannot be established. Mr. Wooten, Respondent’s CEO, established that Petitioners’ proposed location is within 25 miles of Respondent’s current location. Respondent has the ability to adequately serve the needs of the population of Bay County, including Panama City and Panama City Beach through its sales and service of the POPC motorcycles. In the current economy, the entry of Petitioners into the POPC marketplace would have a significant negative financial impact on Respondent’s ability to maintain its sales, service, and customer base. Respondent has expended significant sums on advertising, both in print and online, and could not afford to continue to advertise the POPC line if Petitioners’ application were approved. Respondent already works seven days a week to maintain his market share, and would suffer significant financial losses if Petitioners’ application were approved. Respondent provides low prices for the products it sells and would be forced out of business if Petitioners’ application were approved. Petitioners seek to sell the identical motorcycles sold by Respondent, and the Bay County market is not sufficiently large to support a new entrant. If Petitioners’ application is approved, Respondent will be forced to close its business in Panama City Beach. Respondent is in good standing with the distributors of the products it sells. Respondent’s license with the State of Florida is active and in good standing. There are no barriers to access for customers seeking to purchase the products offered by Respondent. Respondent’s location is centrally located for customers in Bay County, including Panama City and Panama City Beach.

Recommendation Based upon the foregoing Findings of Fact and Conclusions of Law, it is RECOMMENDED that the Department of Highway Safety and Motor Vehicles enter a final order denying the establishment of Petitioners’ dealership at 3401 East Business Highway 98, Panama City, Florida. Findings Of Fact The Petitioner, Hap's Cycle Sales, Inc., is a motorcycle dealer with many years of experience in the retail sales of motorcycles and related parts and accessories in the Sarasota, Florida, area. It is a dealer in Honda motorcycles, which are a high-sales-volume item. Its sales of Hondas run 500 to 600 units per year. Hap's proposes to sell Bombardier Corporation Can-Am "dirt bikes" as essentially a "sideline" or minor portion of its marketing effort. This is because the Can-Am bike is an offroad specialized vehicle appealing to a relatively narrow segment of the motorcycle-purchasing public. The Petitioner's President, Mr. Poneleit, believes, based upon his long experience as a dealer, that he can sell 15 to 18 Can-Am bikes per year. Mr. Poneleit was approached by Mr. Bert Swanson, the regional sales manager for Bombardier Corporation in January, 1981. Mr. Swanson on behalf of his company was seeking a new dealer for the Sarasota area, and upon negotiating with the Petitioner, the Petitioner agreed to become a dealer for Bombardier Corporation, selling the Can-Am dirt bike. With the support of Bombardier Corporation, the Petitioner then filed the subject application for a license. The Petitioner has contracted with Bombardier Corporation, through Mr. Swanson, to represent them as a dealer beginning in February, 1981, and the Petitioner has ordered the agreed and requisite number of motorcycles and related parts from that franchisor. The Petitioner is of the belief that the Sarasota area involved herein can only support one-such specialized motorcycle dealer. The testimony of Mr. Swanson corroborates the Petitioner's view that the Sarasota area will only support one Can-Am dealer. Mr. Swanson, whose company was in need of a dealer, contracted with the protestant, Bremas Cycles and Douglas Rickey, for a franchise during 1980. That contract expired October 31, 1980, having been entered into November 1, 1979. Bremas, the original franchise dealer and protestant herein, was not an active dealer in that it ordered no cycles or parts as required, during the course of the year during which its franchise contract was in effect. When that contract expired, Bombardier, needing a more active dealership in the Sarasota area, negotiated with, and arranged for the Petitioner to become the Bombardier Can-Am motorcycle dealer. Thee Petitioner, after the contract was entered into, ordered the cycles and parts specified in the contract and upon learning of the need for amendment of its license, initiated this proceeding. The testimony of Mr. Swanson shows that it is difficult to assess Bombardier's market share in the Sarasota area because such cycles are "dirt bikes," not licensed as highway vehicles, and thus records of their ownership is scanty. The testimony of Swanson and the Petitioner, established, however, that the Sarasota County area will only support one such specialized dealer. On April 15, 1980, the Intervenor, Bremas Cycles, became the authorized dealer for Bombardier Can-Am motorcycles. The franchise agreement was entered into with Mr. Bert Swanson who informed Mr. Rickey of Bremas that his company preferred having a small dealer like Rickey who would represent Can-Am properly. Bremas was approved for the Borg-Warner credit floor plan, but because the floor plan terminated in June, 1980, Mr. Swanson and Mr. Rickey agreed that Rickey could wait until the 1981 floor plan period began before having to order motorcycles. It was also agreed that Bremas and Rickey would act as a dealer, service and parts outlet during the interim before the new floor plan period began. Mr. Rickey contacted Mr. Swanson on several occasions attempting to buy fewer machines than the 5 units required by the company policy and contract, but was refused the machines. He learned, however, that in December, 1980, the company had shipped a motorcycle to a private individual who had purchased it directly through Swanson. It should be pointed out, however, that the contract and dealer franchise agreement between Rickey and Bombardier, Inc., had expired as of October 31, 1980. Mr. Rickey, in reliance on Mr. Swanson's verbal assurances of Bombardier's approval of his ordering cycles in December, 1980, on the "new floor plan year," borrowed money for that purpose. Mr. Rickey did not realize that his contract expired on October 31, 1980, and subsequent to that expiration date Mr. Swanson, on behalf of Bombardier, contracted with the Petitioner for the Petitioner to be the Bombardier Can-Am motorcycle dealer in Sarasota County. Mr. Rickey objects that he has not been informed by any communication from Bombardier that he is no longer an authorized Can-Am dealer, and indeed still receives sales information from Bombardier. Near the conclusion of his testimony Mr. Rickey quite candidly stated that he did not challenge the Petitioner's right to the dealership and was no longer actually interested in the dealership. He merely wanted to demonstrate to the Department what he considered to be shabby treatment by the manufacturer licensee in the hope that sanctions might be imposed. He ultimately decided that he did not dispute the right of the Petitioner to be licensed, however.

Recommendation In consideration of the foregoing Findings of Fact and Conclusions of Law, the candor and demeanor of the witnesses, and the pleadings and arguments of the parties, it is therefore RECOMMENDED: That the application of Hap's Cycles Sales, Inc., d/b/a Bombardier Can-Am Franchise Dealer for licensure as a Bombardier Can-Am motorcycle dealer in Sarasota, Florida, be GRANTED. The Issue The issue in this case is whether Petitioners' proposed motorcycle dealership would serve a community or territory in which Respondent's dealership is not presently providing adequate representation of the same line-make vehicles that Petitioners would offer.

Findings Of Fact On March 14, 2008, an advertisement was published in the Florida Administrative Weekly, which gave notice that, unless a protest were timely filed, the Department of Highway Safety and Motor Vehicles ("Department") intended to approve the application of Petitioner USA Wholesale Scooters, Inc. ("Wholesale Scooters") for a license to establish a new dealership at 2902 East Sunrise Boulevard, Fort Lauderdale, Florida (the "Proposed New Point"), where motorcycles manufactured by Petitioner Chuanl Motorcycle USA, Ltd. ("Chuanl") would be offered for sale. Respondent Power & Play Warehouse, Inc. ("Power & Play"), which is licensed to operate a dealership, under a franchise agreement, for the sale of Chuanl motorcycles in Pompano Beach, Florida (the "Existing Dealership"), timely filed a written complaint with the Department, protesting the intended approval of the Proposed New Point. The Proposed New Point and the Existing Dealership are both situated in Broward County, Florida. It is undisputed that the population of Broward County exceeds 300,000. At the final hearing, the parties stipulated that the Proposed New Point would be located within 12.5 miles of the Existing Dealership. Wholesale Scooters failed to present persuasive evidence demonstrating that the Existing Dealership is not providing adequate representation of Chuanl motorcycles in Fort Lauderdale, Pompano Beach, Broward County, or any other conceivably relevant community or territory.

Recommendation Based on the foregoing Findings of Fact and Conclusions of Law, it is RECOMMENDED that the Department enter a final order denying Wholesale Scooters' application for a license to operate a new dealership at 2902 East Sunrise Boulevard, Fort Lauderdale, Florida, where Chuanl motorcycles would be offered for sale. The Issue The issue is whether Petitioners are entitled to a motor vehicle dealership that is proposed to be located in Longwood, Florida.

Findings Of Fact Respondent is an existing franchised dealer of motorcycles manufactured by Zhejiang Taizhou Wangye Power Co. Ltd. (ZHEJ). Petitioners have proposed the establishment of a new dealership to sell the same line and make of motorcycles as those sold by Respondent. Respondent's dealership is located at 306 West Main Street, Apopka, Florida 32712. Petitioners' proposed dealership would be located at 821 South Highway 17-92, Suite 101, Longwood, Florida 32750. The proposed dealership is within a 12.5-mile radius of Respondent's dealership. Respondent has standing to protest the establishment of the proposed dealership.

Recommendation Based on the foregoing Findings of Fact and Conclusions of Law, it is RECOMMENDED: That the Department of Transportation enter a final order denying the establishment of Petitioners' proposed franchise. The Issue The issue is whether Petitioners are entitled to a motor vehicle dealership that is proposed to be located in Longwood, Florida.

Findings Of Fact Respondent is an existing franchised dealer of motorcycles manufactured by Chunfeng Holding Group Co. Ltd. (CFHG). Respondent also has an existing distribution arrangement with Petitioner CF Moto Powersports, Inc. Petitioners have proposed the establishment of a new dealership to sell the same line and make of motorcycles as those sold by Respondent. Respondent's dealership is located at 306 West Main Street, Apopka, Florida 32712. Petitioners' proposed dealership would be located at 821 South Highway 17-92, Suite 101, Longwood, Florida 32750. The proposed dealership is within a 12.5-mile radius of Respondent's dealership. Respondent has standing to protest the establishment of the proposed dealership.

Recommendation Based on the foregoing Findings of Fact and Conclusions of Law, it is RECOMMENDED: That the Department of Highway Safety and Motor Vehicles enter a final order denying the establishment of Petitioners' proposed franchise. The Issue The issue in this case is whether Petitioner's application to establish a dealership to sell motorcycles manufactured by JMSTAR Motorcycle Company should be approved.

Findings Of Fact Petitioner is a Florida-limited liability company located in Pinellas County, Florida.1 Petitioner is in the business of selling motorcycles and motorscooters. In February 2009, Petitioner submitted to DHSMV a letter of intent to establish A1 Motorscooters.com, LLC, as a new dealership for the purpose of selling JMSTAR motorscooters. Notice of that intent was duly published in the February 27, 2009, FAW, Volume 35, Number 8. In its letter of intent to DHSMV, Petitioner did not list Respondent as a dealer with standing to protest its letter of intent. That was due to the fact that Respondent did not appear on the list of licensed dealers provided to Petitioner by DHSMV (as will be discussed more fully herein). Respondent is a Florida-limited liability company doing business in Pinellas County, Florida. It sells different makes of motorcycles. On June 4, 2009, Respondent was made aware of Petitioner's letter of intent (some 98 days after Petitioner's Notice was published). Respondent immediately filed a protest, stating that Respondent was "approved" to sell the same line of motorcycles and that Respondent "just received [their] license and began selling several months ago." In October 2008, Respondent received a Final Order from DHSMV approving Respondent as a dealer for the JMSTAR line of motorcycles. That Final Order gave Respondent a preliminary approval to sell JMSTAR motorcycles, but only upon completion of the application process and issuance of a license by the Department. Respondent's license was, ultimately, issued effective April 21, 2009. Thus, at the time of the FAW Notice as to Petitioner's new dealership, Respondent had been preliminarily approved, but was not a licensed dealer of JMSTAR motorcyles. Respondent had a prior agreement with SunL Group, Inc. ("SunL"), to sell motorcycles as a franchisee or independent contractor. Under that arrangement, Respondent could sell various kinds of motorcycles, including the JMSTAR line. At some point in time, the agreement between SunL and Respondent was terminated. Further, SunL's dealership license was revoked by DHSMV on June 5, 2009. SunL was not a party to this proceeding, and no one appeared on its behalf. When Petitioner filed its letter of intent with DHSMV, it asked for and received a list of all authorized dealers of JMSTAR motorcycles so that those dealers could be appropriately notified. DHSMV provided a list to Petitioner. Respondent was not on the list because, at that time, Respondent was not yet a licensed dealer of JMSTAR motorcyles. (Apparently SunL was a licensed dealer and could have protested Petitioner's letter of intent, but there is no evidence that it did so.) Respondent did not provide any credible testimony or other competent evidence at final hearing as to the impact of Petitioner's proposed dealership on Respondent, nor were any of the review criteria set forth in Florida Statutes concerning the approval or denial of a new dealership discussed by either party.

Recommendation Based on the foregoing Findings of Fact and Conclusions of Law, it is RECOMMENDED that a final order be entered by the Department of Highway Safety and Motor Vehicles denying Respondent, ECO Green Machine, LLC's, protest of Petitioner, A1 Motorscooter.com, LLC's, proposed dealership.
