I am a preferred shareholder of fannie mae & Lehman, purchased under the advise of my financial advisor. This was my retirement money as well as my daugher's college money. I feel like I have no where to turn. Noone seems to know anything. I am searching for answers. Beside from being swindled, I believe fraud was comimtted. Please help!

Fannie Mae Shareholder Common Stock

I am a shareholder of fannie mae's common stock. I found out today my shares would be diluted significantly. Management had led investors to believe they would have significant capital to weather the mortgage crisis. I feel misled and swindled by fannie mae, the treasury and our representatives in congress. Can I sue?

Registering stock in California

We are selling 40% of the stock of our closely held California corporation. One of the investors wants to purchase the stock in his corporate retirement plan in which he is the only participant. To be qualified what needs to be done to have it registered or anything more that needs to be done?

LLC, Securities Law

Three California people purchased units in an LLC that was formed and operated its business in Iowa. The other units were purchased by Iowa residents. The four members that formed the LLC were the managing members and they, incidently, were Real Estate Brokers that owned a company separate from the LLC. We were told of possible 40% returns, but were provided no disclosures. Instead the company was managed with negligence, perhaps gross negligence, and everyone, thus far, has lost apprx. 25% of the value of their shares.

It is our understanding that the units could be considered units and that selling them to out-of-state, non-members could be considered the sale of securities. Did the managing members sell out-of-state securities, and thus violate federal law? If so, what might the penalities be for these actions?

new franchisor

Our real estate company is receiving our franchise license next month. Right now, I am paying an employee $2,000/month OR 10% of net company profits (whichever is greater). He plays an integral part in our business. I want to make sure that this payment relationship we have can continue. As we are an S-corp, he does not have any ownership or company stock. Will this violate any laws? Since the laws a franchisor has to follow is a lot different from a non-franchised business owner, I want to make sure I am not doing anything against the law. Creative funding of a startup?

We have a startup company which has a TON of people interested in investing a small amount of money. We have several key investors, but we would like to raise some of the capital creatively. As a NY Corp. can we sell shares to a membership club which then allows members to buy shares in our startup company. I know I can't sell ''publically'' without being a publically traded company. How can I find out what the rules are for selling startup shares?

fraudulent information in order to sell stock

The company that I worled for sold 3.8 million dollars worth of stock over the past 18 months. They have spent all of the investors money on thier 25,000 dollar a month salaries, trips, cars and property. Nothing has been spent on the company or its proposed product. They told all of the investors that they had purchased the patent rights to a new medical product and based on that, everyone gave them huge sums of money to be involved. I have found out that they had never owned the rights to this product. What if any recourse would the investors have at this point. They refuse to ptoduce the books for the company, but I have them as they asked me to enter all of the data into quickbooks for them so they could have them edited by someone else.

Civil Summons - Investment Related

I was recently served with a summons pertaining to an investment my husband and I made back in 2000. It seems the individual we invested with is now being investigated for securities fraud. The case is in receivership and they are looking to recoup the insufficient funds. This summons was the first I had heard anything about this issue whatsoever. I was in shock -- and I now have 20 days to respond to an issue I have not been involved in since 2001 . . . My husband passed away about 8 months after making this investment and I quickly closed out the account. Thank goodness I kept fairly good records -- because the Receivors records are a mess and reflecting information that is totally inaccurate. Not even sure where to start here.
