Corporate Record Keeping
We are an S-Corporation incorporated in Wisconsin. We've done a very poor job at keeping records of Board Resolutions, Directors Meeting Minutes, etc. I know this has put us in a potentially vulnerable legal situation vis-a-vis our incorporation status.
How do we address this situation -- especially when no records were taken on important decisions like stock issuance?
On February 27th, 2011 we had a tornado come through my town. A picnic table from the snow cone building down the street flew down and slammed into my car, causing over $3,000.00 dollars damage.
The people who own the snow cone place said they did not have to cover the damage to my car due to it being �an act of God�. My vehicle insurance had to cover the damage less my $250.00 deductible, which I had to cover.
I want the owners of the snow cone place to pay the $250.00 deductible because they neglected
to either 1) securing their property (the picnic table) or 2) storing their property while being closed for the winter months.
I have approached the gentlemen in regards to this issue; however, he said �sue God�. When I explained that since he neglected his duties as a business owner by not either storing or securing his property, he said �you�re kidding me�; at that point I ended the conversation and left.
Do I have a case to sue him for the deductible that I had to pay out of pocket?
